LEXUS GAUNTLET CHALLENGE
Rules in PDF Format NO PURCHASE NECESSARY TO PLAY OR WIN A PRIZE. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. NO SUBMISSION TO A SALES PRESENTATION REQUIRED IN ORDER TO ENTER. OPEN ONLY TO LEGAL RESIDENTS OF SOUTHERN CALIFORNIA WHO ARE AT LEAST 18 YEARS OF AGE ON OR BEFORE OCTOBER 1, 2007 AND WHO ARE LICENSED DRIVERS POSSESSING A VALID DRIVERS' LICENSE AND RESIDE IN ZIP CODES 90000-93599. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. 1. ELIGIBILITY: Entrants in the Lexus Gauntlet Challenge (the "Challenge") must be legal residents of Southern California who reside in zip codes 90000-93599, who are at least 18 years of age on or before October 1, 2007, and who are licensed drivers possessing a valid driver's license. The Challenge is void outside of zip codes 90000-93599 in Southern California and where prohibited or restricted by law. 2. SPONSOR: Southern California Lexus Dealer's Association, 1960 E. Grande Avenue, El Segundo, California 90245 (hereinafter referred to as "Sponsor"). Employees of Sponsor, Toyota Motor Sales, USA, Inc., Maritz, Inc., the University of California at Los Angeles ("UCLA"), the University of Southern California ("USC"), and their parent companies, subsidiaries, affiliates, divisions, advertising and promotion, fulfillment and/or judging agencies, dealers, and dealer personnel (hereinafter, "Related Entities") and their immediate families (parent, child, siblings and spouse to each) and household members of each are not eligible. The Challenge shall be subject to applicable federal, state and local laws and regulations. 3. HOW TO ENTER: The Challenge begins at 12:00am Pacific Time (PT) on October 1, 2007 and ends at 12:00am Pacific Time (PT) on February 1, 2008 ("Promotion Period"). To enter the Challenge submit a video clip at www.youtube.com which does not exceed twenty-five (25) seconds and includes the following requirements: (1) Mentions the words "Lexus Gauntlet" or includes the prominent appearance of the words "Lexus Gauntlet"; (2) Mentions the University of California at Los Angeles ("UCLA") and the University of Southern California ("USC"); and, (3) displays good sportsmanship. Once you have completed your video clip, and submitted your personal information as directed, your entry will be complete (hereinafter, "Entry".) You can submit more than one Entry, provided that each Entry you submit fully complies with these Official Rules. Please be advised that to submit a video clip, you will be required to become a member of YouTube.com, choose a username and password and enter your information as directed. Once you have submitted the information, you will be required to click the "Sign Up" button. Once you have become a YouTube.com member or if you are currently a member of YourTube.com prior to the start of this Challenge, to submit your video clip, you will be required to follow the video submission procedure as follows: Click "Upload Videos" in the upper right hand corner of any YouTube.com page; include the title, "SoCal LEXUS GAUNTLET"; Click the "Continue Uploading"; a window will appear and you will be required to click the "Browse" button to browse for the video file. Select the file you want to upload; and post the video using the title "SoCal LEXUS GAUNTLET". All Online Entries must be received by 12:00am PT on February 1, 2008. Sponsor's clock shall serve as the Official Clock for the Challenge. Proof of submission does not constitute proof of receipt. Any person who tampers with the entry process in any way will be disqualified. IT IS ESSENTIAL FOR THE PROPER AND LEGITIMATE OPERATION OF THIS CHALLENGE THAT YOUR ENTRY MUST BE YOUR OWN ORIGINAL WORK AND CANNOT CONTAIN MATERIAL THAT HAS BEEN PREVIOUSLY BROADCAST, COPYRIGHTED AND/OR TRADEMARKED BY ANOTHER PERSON OR ENTITY. ADDITIONALLY, ANY AND ALL PERSONS APPEARING IN YOUR VIDEO CLIP MUST HAVE PROVIDED YOU WITH WRITTEN CONSENT TO ALLOW YOU TO INCLUDE HIS OR HER APPEARANCE IN YOUR VIDEO CLIP. IF SPONSOR OR THE RELATED ENTITIES DISCOVER AT ANY TIME, DURING OR AFTER THIS CHALLENGE, THAT YOUR ENTRY CONTAINED MATERIAL THAT WAS PREVIOUSLY BROADCAST, COPYRIGHTED AND/OR TRADEMARKED BY ANOTHER PERSON OR ENTITY, OR THAT ANY PERSON OR PERSONS APPEARING IN YOUR VIDEO CLIP DID NOT PROVIDE YOU WITH WRITTEN CONSENT, YOUR ENTRY WILL BE IMMEDIATELY DISQUALIFIED AND YOU WILL BE OBLIGATED TO IMMEDIATELY RETURN ANY AND ALL PRIZES WHICH MAY HAVE BEEN AWARDED TO YOU IN CONNECTION WITH YOUR ENTRY. 4. ENTRY REQUIREMENTS: In addition to complying with the preceding paragraphs, each Entry must comply with the following content requirements in order to be eligible for this Challenge:
Sponsor is not responsible for any Entry that is processed late or incorrectly, or any Entry that is lost or damaged due to computer or electronic malfunction or any other error. Sponsor is not responsible for computer system, phone line, technical, hardware, software or program failures of any kind, lost or unavailable network connections, incomplete, garbled or delayed computer transmission or network connections that are human or technical in nature. All Entries and all intellectual property rights therein, including patents, trademarks, and/or copyrights become the property of the Sponsor and will not be acknowledged or returned. By submitting an Entry, you assign and agree to assign all intellectual property rights in such Entry to Sponsor. No previously broadcast videos, published articles, award-winning papers, confidential information or copyrighted or trademarked intellectual property of any other person or entity may be submitted nor will such a submission qualify as an Entry. By submitting an Entry, you warrant and represent to Sponsor that the Entry is your 100% original creation/work; that use of the Entry as described herein will not violate any law or infringe upon the rights of any third party; and, that the Entry contains no confidential information or information which has been copyrighted or trademarked by another person or entity. By entering this Challenge, you agree that Sponsor, and the Related Entities and any assigns shall have the right to post the entry on www.youtube.com for viewing by visitors to the website and that Sponsor, the Related Entities and any assigns shall have the right to edit, modify, publish, use, reuse, not use or otherwise exploit the Entry and any material based thereon or derived there from, in any manner, for any lawful purposes whatsoever, including, without limitation, for advertising and promotional purposes in any medium (whether now or hereafter known) throughout the world in perpetuity without further permission, consideration or payment to you, except where specifically prohibited by applicable law. 5. FINALIST JUDGING CRITERIA: The top one hundred (100) entries that receive the most views between 12:00am PT on October 1, 2007 and 12:00am PT on February 1, 2008 will be deemed the finalists (the "Finalists"). In the event of a tie whereby there are two (2) or more entries that have the same number of views and the total number of highest viewed entries exceeds one hundred (100), the tied entries will be included in the Grand Prize judging. In the event less than one hundred (100) entries are received, the Grand Prize judging will take place from among all entries received regardless of the number of views. Please be advised that the number of views an Entry receives will not have any impact on the Grand Prize judging criteria. 6. GRAND PRIZE JUDGING CRITERIA: From among the one hundred (100) Finalists (or fewer or greater number as set forth in Paragraph 4 above), one (1) Grand Prize Winner will be selected based on the following judging criteria: Originality/Creativity (0-25 points); Humor/Entertainment (0-25 points); Demonstration of Good Sportsmanship (0-25 points); and Stage Presence (0-25 points). Please be advised that this Challenge may be cancelled in the event Sponsor receives an insufficient number of qualified Entries that do not meet the minimum standards established by the judges. The judging will be conducted under the supervision of Sponsor whose decisions are final and binding in all respects relating to the selection of the Grand Prize Winner. In the event of a tie, the tied Finalists will be re-judged by an additional judge who will serve as the tie-breaker using the same criteria as outlined herein. In the event the same entry is submitted by more than one entrant, only the first Entry received will qualify. The Grand Prize Winner will be notified by email and overnight mail on or about March 3, 2008. 7. ONE (1) GRAND PRIZE: The Grand Prize consists of the opportunity for Grand Prize Winner's Entry to appear on the FSN Prime Ticket Gauntlet Show currently scheduled to air in or about May 2008 (subject to schedule and time considerations), plus a twenty-four (24) month lease on a Model Year 2008 Lexus IS vehicle. The Manufacturer's Suggested Retail Prize of this Lexus vehicle 2-year lease is $15,468.00 and the lease includes 15,000 miles per year. Grand Prize Winner will be solely responsible for all costs and expenses for any miles over 15,000 per year. Grand Prize Winner will be solely responsible for all car title, license and registration fees, freight, delivery, dealer prep, emissions inspection, additional equipment, all federal, state and local taxes, insurance, gasoline, vehicle maintenance and all other fees and expenses associated with the receipt and use of the prize vehicle. Grand Prize Winner must meet all of the lease eligibility requirements set forth by Sponsor and Toyota Motor Sales, U.S.A., Inc., and will be required to sign a standard vehicle lease agreement. Grand Prize Winner will be solely responsible for maintenance and any charges for excess wear and tear at lease end. Any charges for car options selected by the Grand Prize Winner will be the responsibility of the Grand Prize Winner. Grand Prize Winner must provide proof of valid insurance and a valid driver's license to take delivery and must take delivery at a dealership designated by Sponsor within sixty (60) days of Grand Prize Winner's receipt of notification. All costs and expenses not expressly specified in these Official Rules are the sole responsibility of the Grand Prize Winner. The Grand Prize is non-transferable. No substitution, cash redemption, assignment, or transfer of the Grand Prize is permitted, but the Sponsor reserves the right to substitute a prize of equal or greater value in the event that an offered prize is unavailable for any reason. Grand Prize Winner must supply the Sponsor with his/her social security number for tax purposes. Grand Prize will be awarded provided it is properly claimed. Grand Prize Winner acknowledges and agrees that neither Sponsor and the Related Entities nor any entity associated with the production of the FSN Prime Ticket Gauntlet Show can guarantee or otherwise promise in any way that the name and/or likeness and/or voice or appearance of the Grand Prize Winner will be included in any FSN Prime Ticket Gauntlet Show. If the FSN Prime Ticket Gauntlet Show is produced and aired, Sponsor and the Related Entities assume no responsibility if the Grand Prize Winner's performance and/or Entry is edited for the final production. In the event the FSN Prime Ticket Gauntlet Show is not produced or aired for any reason, Sponsor and the Related Entities have no obligation, financial or otherwise, to the Grand Prize Winner. 8. CLAIMING PRIZES/RELEASES: Potential Grand Prize Winner will be required to complete, execute and return an Affidavit of Eligibility, Liability and Publicity Release and any other required documents within fourteen (14) days of receipt. Potential Grand Prize Winner will not be Grand Prize Winner until he/she signs and returns the Affidavit of Eligibility, Liability and Publicity Release and any other required documents and these documents have been formally verified. If Grand Prize Winner fails to comply with the Official Rules and/or to submit required documentation within the designated period, the Grand Prize will be awarded to the Entrant who received the next highest scoring Entry. 9. GENERAL CONDITIONS AND INDEMNITY AND RELEASE: The Challenge is subject to all applicable federal, state and local laws. By entering this Challenge, each any every entrant and the Grand Prize Winner: (1) agrees to indemnify, release and hold harmless the Sponsor and the Related Parties from any and all losses, damages, rights, claims and actions of any kind in connection with the Challenge; (2) agrees to be fully and completely bound by these Official Rules; (3) agrees to indemnify, release and hold harmless Sponsor and the Related Entities from any and all liability for any loss, harm, damages, costs or expenses, including without limitation property damages, personal injury and/or death arising out of participating in this Challenge, or the delivery, acceptance, possession, use or misuse of any prize and claims based on publicity rights, defamation or invasion of privacy, copyright infringement, trademark infringement and/or any other intellectual property right; and, (4) Grand Prize Winner consents to the use of his/her name, submitted entry (including but not limited to statements and/or jingles), photograph, likeness, statements, testimonials, and/or text for advertising, promotional or any other purposes in any medium throughout the world in perpetuity without additional compensation or consent unless prohibited by law. Eligibility, age and claims made by Grand Prize Winner are all subject to verification. Sponsor and Related Entities are not responsible for fraudulent calls or e-mails sent to Entrants not authorized by Sponsor. Furthermore, each entrant agrees and acknowledges to be bound by the decisions of the judges which are final and binding in all respects; to waive any rights to claim ambiguity with the Official Rules; and that Sponsor and the Related Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death and/or any claims based on publicity rights, defamation, invasion of privacy, right of publicity, copyright infringement, trademark infringement and/or merchandise delivery) in connection with participation in the Challenge; human error; incorrect or inaccurate transcription of Entry information; any technical malfunctions of a computer online system, computer dating mechanism, computer equipment, software, internet service provider; interruption or inability to access any website or any online service via the internet due to hardware or software compatibility problems; any damage to entrant's (or any third person's) computer and/or its contents related to or resulting from participation in this Challenge; any lost/delayed/duplicate/multiple data transmissions, omissions, interruptions, defects and/or any other errors or malfunctions, even if caused by the negligence of Sponsor or of the Related Entities. Sponsor reserves the right at its sole discretion to disqualify any individual who: (1) tampers or attempts to tamper with the entry process or the operation of the Challenge; (2) violates these Official Rules; (3) acts in either an unsportsmanlike or disruptive manner; or, (4) acts with the intent to annoy, abuse, threaten or harass any other person. Each entrant and the Grand Prize Winner acknowledges that the Sponsor and the Related Entities have neither made nor are responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Grand Prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose, except that the Grand Prize vehicle does include a standard vehicle limited warranty as set forth in the vehicle's Owner's Warranty Information Guide. 10. DISCLAIMER WITH RESPECT TO USE OF THE INTERNET: Please be advised that any use of an automated device to enter this Challenge is not valid. Any Entry submitted in this manner will be subject to immediate disqualification. The Sponsor reserves the right in its sole discretion to cancel, terminate, modify or suspend the Challenge if for any reason this Challenge is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Challenge. The Sponsor and the Related Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of any Entry. As noted above, Sponsor and the Related Entities are not responsible for any problems or technical malfunctions of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or Entry to be received by the Sponsor due to technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from participating in this Challenge or downloading or uploading any materials in this Challenge. Sponsor reserves the right to prohibit the participation of an individual if fraud or tampering is suspected, or if an individual fails to comply with any requirement of participation in this Challenge as stated herein, or if an individual fails to comply with any provision in these Official Rules. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLENGE MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR AND/OR THE RELATED ENTITIES RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to the identity or eligibility of a potential Grand Prize Winner based on an e-mail address, the winning entry will be declared made by the "Authorized Account Holder" of the e-mail address submitted at time of the Entry. "Authorized Account Holder" for the purpose of this Challenge is defined as a natural person who legally resides in zip codes 90000-93599 in Southern California, who is at least 18 years of age on October 1, 2007, who is a licensed driver possessing a valid driver's license, and who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization (e.g., business, education institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. 11. NAME OF GRAND PRIZE WINNER: To obtain the name of the Grand Prize Winner, (available after March 3, 2008) send a self-addressed, stamped envelope to: TEAM ONE, Attn: Experiential Marketing, SoCal Gauntlet, 1960 E.
